MAITECX PRIVATE LIMITED has developed “Agrolinc” as a technology-driven digital platform with the primary purpose of bridging the gap between farmers and agricultural workers by enabling seamless access to job opportunities in the agricultural sector. Through its mobile application, Platform, and related services, Agrolinc facilitates efficient communication, job discovery, and workforce management, helping farmers find suitable labour while providing workers with reliable employment opportunities. The platform is designed to enhance productivity, transparency, and accessibility within the agricultural ecosystem by leveraging digital innovation to simplify labour hiring processes and support rural livelihoods.

The listing of services, including relevant contact details, made available on the Agrolinc Platform operated by MAITECX PRIVATE LIMITED through its mobile application, and related digital interfaces, is governed by the Terms and Conditions set forth herein. In addition, our Privacy Policy and any other policies, guidelines, or terms applicable to specific features, functionalities, promotions, or customer support services form an integral part of these Terms and Conditions (collectively referred to as the “User Agreement”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed, without limitation or qualification, to be bound by this User Agreement.

This mobile application (Platform) is operated by MAITECX PRIVATE LIMITED /MPL, via Brand “Agrolinc”.

• (i) Throughout the, the terms “Company/Brand”, “we”, “us” and “our” refer to MAITECX PRIVATE LIMITED /MPL or “Agrolinc”.
• (ii) Throughout, the terms “Platform” refer to mobile application of the Company.
• (iii) Throughout the terms: “User” refers to Platform User and that may be End Customer/End Client/Farmers/Job seekers/Workers-Labourers who has listed on platform/Onboarding.

MPL provides this mobile application together with all information, product details, and service listings made available through the platform, to users subject to their acceptance of and compliance with all applicable terms, conditions, policies, and notices set forth herein.

MAITECX PRIVATE LIMITED /MPL and related products or service or contact details (collectively we can call it as “Listing”) is meant for the purpose and only the exclusive use of the subscriber/registered user. Copying or downloading or recreating or sharing passwords or sublicensing or sharing in any manner which is not in accordance with these terms, is a misuse of the Platform or product or service and The Company reserves its rights to act in such manner as to protect its loss of revenue or reputation or claim damages including stopping your service or access and reporting to relevant authorities. In the event you are found to be copying or misusing or transmitting or crawling any data or photographs or graphics or any information available on MAITECX PRIVATE LIMITED/MPL for any purpose other than that being a bonafide purpose, we reserve the right to take such action that which deem fit including stopping access and claiming damages.

The mobile application is for a public with free access, and we assume no liability for the quality and genuineness of responses. MAITECX PRIVATE LIMITED/MPL cannot monitor the responses that a person may receive in response to information/product/services, he/she has displayed on the platform/mobile application. The individual/company would have to conduct its own background checks on the Bonafide nature of all response(s).

MAITECX PRIVATE LIMITED/MPL will not be liable on account of any inaccuracy of information on this platform. It is the responsibility of the visitor to further research the information on the Platform before opting for any services therewith.

Farmers/employers are solely and exclusively responsible for the accuracy, legality, and completeness of all job listings posted on the Platform, including but not limited to: Nature and scope of work, Duration of work, Location of work, Compensation and payment terms, Working conditions.

Workers are solely responsible for reviewing, verifying, and understanding all job details before accepting any opportunity. Acceptance of any engagement shall be at the worker’s independent discretion and risk.

The Platform acts only as a technology-based intermediary and does not guarantee: Availability of jobs, Selection of any worker, Completion of any job, Payment of wages or performance of obligations by either party.

MAITECX PRIVATE LIMITED / MPL and Agrolinc Platform does not supervise, monitor, control, or manage the execution of any job, agricultural activity, or contractual arrangement between users.

MAITECX PRIVATE LIMITED/MPL and Agrolinc Platform shall not be responsible or liable for: Verification of land ownership, Crop conditions or quality, Weather-related risks, Soil conditions, Irrigation systems, Land or ownership disputes, Any injury, loss, damage, or dispute arising between farmers and workers.

All users agree that any engagement is a direct arrangement between the concerned parties, and the Platform bears no employer-employee, principal-agent, or partnership relationship with any user.

The Platform reserves the right, at its sole discretion, to suspend or terminate any registration and/or deny access to the Platform or Services if it comes to the Platform’s knowledge, or is subsequently discovered, that a user is not legally competent to enter into a binding contract under applicable law.

• Agrolinc may offer both free and paid subscription plans to Farmers for access to certain features and services on the Platform.
• Details of subscription plans, including pricing, features, and validity periods, shall be made available within the Platform and may be updated from time to time.
• All subscription fees paid are non-refundable, except where a refund is required under applicable law.
• Agrolinc reserves the right to modify, suspend, or discontinue any subscription plan, pricing, or features upon providing reasonable prior notice to Users through the Platform or other appropriate means.
• Agrolinc shall never request sensitive financial information such as card numbers, CVV, OTPs, or passwords via phone calls, messages, or unofficial communication channels. Users are advised to immediately report any such suspicious activity to support@agrolinc.in

Users agree to use the Platform in a lawful, respectful, and responsible manner. Without limiting the generality of the foregoing, Users shall not:

• Use the Platform for any unlawful, fraudulent, or unauthorized purpose;
• Provide false, inaccurate, or misleading information;
• Harass, abuse, threaten, or harm other Users;
• Engage in or promote illegal activities of any kind;
• Attempt to gain unauthorized access to the Platform, its systems, or networks;
• Copy, modify, distribute, reverse engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by applicable law.

Agrolinc reserves the right to suspend or terminate access to the Platform for any User who violates these provisions.

You shall be solely responsible for all activities conducted through your Service Provider Account. In case of any misuse or violation of MPL /Platform policies, including listing of non-compliant or restricted products, pricing or MRP violations, MPL /Platform may, at its sole discretion and without prior notice, delist your products and/or suspend or terminate your Service Provider Account. MPL /Platform shall not be liable for any consequences or legal proceedings arising from information provided by you on the Platform.

If your use of the Platform is not in compliance with these Terms or applicable policies, MPL/Platform may notify you upon becoming aware of such non-compliance. You shall rectify the same within two (2) business days of such notice.

Without prejudice to other rights, if you fail to cure the non-compliance within the prescribed period, or if rectification is not feasible, MPL /Platform may suspend or terminate your Service Provider Account and/or these Terms with immediate effect. Further to this if, during the validity of the account subscription MPL realized that there is gross misconduct, inappropriate activities which is against the any laws of land then MPL has legal right to terminate the account with immediate effect.

It shall be deemed that you have provided your consent for MPL to send you notifications through the Platform via SMS, WhatsApp, email, or other electronic means on your registered mobile number or email address. Such notifications may include, without limitation, communications relating to your registration, transactions carried out on the MPL /Platform, promotional offers provided by third parties such as banks or brands, and other Platform-related communications. MPL /Platform may also send notifications and reminders in relation to your activity on the Platform. You acknowledge and agree that MPL /Platform shall not be liable for any failure or delay in sending such notifications or reminders.

The products and services described on the Platform/application, and any samples thereof we may provide to you, are for personal use or sole consumption purpose only. You may not sell or resell any of the products or services, or samples thereof that you receive from us.

We attempt to be as accurate as possible when describing service providers details and their listed product and services on the Platform/mobile application; however, to the extent permitted by applicable law, we do not warrant that the product descriptions, colours, information or other content available on the Platform are accurate, complete, reliable, current, or error-free. Hence while choosing the products/ services, the users shall verify the same at their own conscious. We reserve the right to modify the contents of this Platform at any time, but we have no obligation to update any information on our Platform. You agree that it is your responsibility to monitor changes to our Platform. All information available on the Platform is provided for reference purposes only. Any decisions should be based on actual and verified facts, supported by primary, accurate, complete, and up-to-date sources of information.

All information and content available on the Platforms and its “look and feel”, including but not limited to trademarks, logos, service marks, text, graphics, logos, button icons, images, colour combinations, audio clips, data compilations and software, and the compilation and organization thereof (collectively, the "Content") is the property of the Company and is protected by India and international laws governing all applicable forms of intellectual property. Neither the Content nor any portion of the Platform may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in whole or in part, for any purpose without our express, prior written consent.

We grant you a limited, revocable, and non-exclusive license to access and make personal use of the Platform. This limited license does not include the right to: (a) frame or utilize framing techniques to enclose the Platform or any portion thereof; (b) republish, redistribute, transmit, sell, license or download the Platform or any and/or all Content (except hiding or as necessary to view the Platform); (c) make any use of the Platform or any and/or all Content other than personal use; (d) modify, reverse engineer or create any derivative works based upon either the Platform or any and/or all Content; (e) collect account information for the benefit of yourself or another party; (f) use any meta tags or any other "hidden text" utilizing any and/or all Content; or (g) use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure. You must retain, without modification, all proprietary notices on the Platform or affixed to or contained in the Platform.

We also grant you a limited, revocable, and nonexclusive license to create a hyperlink to the home page of the Platform for personal, non-commercial use only. A Platform that links to the Platform (i) may link to, but not replicate, any and/or all of our Content; (ii) may not imply that we are endorsing such Platform or its services or products; (iii) may not misrepresent its relationship with us; (iv) may not contain content that could be construed as distasteful, obscene, offensive controversial or illegal or inappropriate for any ages; (v) may not portray us or our products or services, in a false, misleading, derogatory, or otherwise offensive or objectionable manner, or associate us with undesirable products, services, or opinions; and (vi) may not link to any page of the Platform other than the home page. We may, in our sole discretion, request that you remove any link to the Platform, and upon receipt of such request, you shall immediately remove such link and cease any linking unless separately and expressly authorized in writing by us to resume linking.

Any unauthorized use by you of the Platform or any and/or all our Content automatically terminates the limited licenses set forth in this Section without prejudice to any other remedy provided by applicable law or these Terms and Conditions.

User of this Platform that we consider as a major at his age (as per the provisions of Law). In the access or use of the Platform, you shall comply with these Terms and Conditions and the special warnings or instructions for access or use posted on the Platform. You shall act always in accordance with the law, custom and in good faith. You may not make any change or alteration to the Platform or any Content or products that may appear on this Platform and may not impair in any way the integrity or operation of the Platform. Without limiting the generality of any other provision of these Terms and Conditions, if you default negligently or wilfully in any of the obligations set forth in these Terms and Conditions, you shall be liable for all the losses and damages that this may cause to the Company/ Brand, our affiliates, partners or licensors. You should use this Platform for the personal and fair use and may not list or use for any illegal or unauthorized purposes. While listing/using the products you shall not violates any laws of India including but not limited to various Intellectual Property Laws. You should not use these products for commercial purposes (such as retailer, distributor, for personal business activities, black marketing etc.) without the permissions/consent of the Company.

Certain content, products and services available via our Platform may include materials from third parties. Third-party links on this Platform may direct you to third-party Platforms that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or Platforms, or for any other materials, products, or services of third parties. Links appearing on the Platform are for convenience only and are not an endorsement by us. You should carefully review the terms and conditions and privacy policies of all third-party information pages and other Platforms/applications/ websites that you visit. We are not liable for any harm or damages related to the purchase or use of products, services, resources, content, or any other transactions made in connection with any third-party Platforms. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

The Platform may offer certain special features and functionality or events (such as contests, sweepstakes or other offerings) which may (a) be subject to terms of use, rules and/or policies in addition to or in lieu of these Terms and Conditions; and (b) be offered by us or by third parties. If so, we will notify you of this and if you choose to take advantage of these offerings, you agree that your use of those offerings will be subject to such additional or separate terms of use, rules and/or policies. We may provide you with access to third-party tools over which we neither monitor, control nor share inputs. You acknowledge and agree that we provide access to such tools” as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the Platform is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new products, tools and/or features through the Platform (including, the release of new products and resources). Such new features in the products and/or services shall also be subject to these Terms of Service.

It is our policy to decline unsolicited suggestions and ideas. Notwithstanding our policy regarding unsolicited suggestions and ideas, any inquiries, feedback, suggestions, ideas or other information you provide us (collectively, "Submissions") will be treated as non-proprietary and non-confidential. If you make a Submission, you represent and warrant that you own or otherwise control the rights to your Submission. You further represent and warrant that such Submission does not constitute or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false email address, impersonate any person or entity, or otherwise mislead us as to the origin of any Submission. You agree to indemnify us for all claims arising from or in connection with any claims to any rights in any Submission or any damages arising from any Submission.

When you transmit, upload, post, e-mail or otherwise make available data, text, software, music, sound, photographs, graphics, images, videos, messages or other materials ("User Content") on the Platform, you are entirely responsible for such User Content. Such User Content constitutes a Submission under the clause mentioned above herein. This means that all third parties, and not we, are entirely responsible for all User Content that they post to the Platform. You agree not to engage in or assist or encourage others to engage in transmitting, uploading, posting, e-mailing or otherwise making available on the Platform User Content that (a) is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) you do not have a right to make available under any law or under contractual or fiduciary relationships; (c) is known by you to be false, inaccurate or misleading; (d) you were compensated for or granted any consideration by any third party; or (e) infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party. In addition, you agree not to transmit, upload, post, e-mail, or otherwise make available any software viruses, unsolicited or unauthorized advertising, solicitation or promotional material, including chain letters, mass mailings, or any form of "spam." You further agree not to (i) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity; (ii) "stalk" or otherwise harass including advocating harassment of another, entrap or harm any third party including harming minors in any way; (iii) forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content; (iv) intentionally or unintentionally violate any applicable local, state, national or international law; or (v) collect or store personally identifiable data about other users.

We do not endorse or control the User Content transmitted or posted on the Platform and therefore, we do not guarantee the accuracy, integrity or quality of User Content. You understand that by using the Platform, you may be exposed to User Content that is objectionable to you. Under no circumstances will we be liable in any way for any User Content, including, without limitation, for any errors or omissions in any User Content, or for any loss or damage of any kind incurred by you as a result of the use of any User Content transmitted, uploaded, posted, e-mailed or otherwise made available via the Platform. You acknowledge that we have the right (but not the obligation) in our sole discretion to refuse to post or remove any User Content and we reserve the right to change, condense, or delete any User Content. Without limiting the generality of the foregoing or any other provision of these Terms and Conditions, we have the right to remove any User Content that violates these Terms and Conditions or is otherwise objectionable and we reserve the right to refuse service without prior notice for any users who violate these Terms and Conditions or infringe the rights of others.

By using the Platform, you expressly acknowledge and agree that all information, content, materials, products, and services made available on or through the Platform are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied, including without limitation warranties of merchantability, accuracy, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. The Company/MPL does not pre-screen user-generated content and does not endorse, verify, or assume responsibility for any opinions, information, products, or services provided by users or third parties, nor does it claim ownership over any user-generated content submitted to the Platform. The Company/MPL shall not be liable for the accuracy, completeness, legality, or intellectual property compliance of any content, products, or services listed or transacted on the Platform, nor for any acts, omissions, breaches, misrepresentations, or non-performance by users or third parties. The Company/MPL does not warrant uninterrupted access to the Platform, freedom from viruses or harmful components, or the correction of defects, and shall not be liable for internet-related issues, data loss, or damages arising from downloads or use of the Platform. All risks relating to transactions, products, services, pricing, delivery, warranties, after-sales obligations, and compliance with applicable laws shall remain solely with the Service Provider, and title to products shall remain with the Service Provider until delivery to the end user, including logistics support by the Service Provider. The Company/MPL does not endorse or guarantee any products or services listed on the Platform and shall not be liable for any third-party information made available thereon, to the extent permitted under applicable law. Further, to the fullest extent permitted by law, The Company/MPL shall not be liable for any indirect, special, punitive, incidental, or consequential damages of any kind (including lost profits) related to the Platform or your use thereof.

By accessing or using the Platform, you acknowledge that you do so at your own risk and exercise independent judgment before entering into any transaction or arrangement, and you hereby release, waive, and agree to indemnify the Company/MPL and its directors, officers, employees, and representatives from and against any costs, losses, damages, liabilities, or consequences arising from your actions on the Platform, to the fullest extent permitted by law. The Company/MPL and its representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or business, arising out of or relating to your use of or inability to use the Platform, even if advised of the possibility of such damages, and in any event, any cumulative liability for direct damages shall be limited to the transaction fees actually paid to the Company/MPL during the six (6) months preceding the claim. The Company/MPL shall not be liable for any content posted by users, unauthorized access or data alteration, or any matters relating to the Platform, and shall bear no responsibility for the acts or omissions of other users or third-party service providers. The Company/MPL acts solely as a facilitator and is not a party to, nor responsible for, any agreements, disputes, or liabilities arising between you and third-party service providers, and no director, officer, or employee of the Company/MPL shall incur any personal liability in connection with services not directly provided by the Company/MPL.

You agree to indemnify, defend, and hold harmless the Company/MPL, its affiliates, and their respective officers, directors, employees, consultants, licensors, agents, and representatives from and against any and all third-party claims, losses, liabilities, damages, penalties (including those imposed by governmental authorities), costs, and expenses (including reasonable legal fees) arising out of or relating to your access to or use of the Platform or any transaction, your breach of these Terms or applicable Laws, or the infringement of any intellectual property or other rights of the Company/MPL or any third party. You further agree to provide, at your own expense, such assistance as the Company/MPL may reasonably require in connection with the defense of any such claim. These indemnification obligations shall survive the termination or expiry of these Terms and/or your use of the Platform.

By accessing or using the Platform, you acknowledge that you may obtain access to confidential and proprietary information of the Company/MPL and/or third parties (including users and customers) (“Confidential Information”), whether disclosed orally or in writing and whether marked confidential or not, excluding information lawfully in the public domain. You agree, during and after your use of the Platform, to hold such Confidential Information in strict confidence, use it solely for purposes permitted under these Terms, protect it with at least reasonable care, prevent unauthorized disclosure or loss, promptly notify the Company/MPL of any breach or misuse, and ensure that your personnel and subcontractors are bound by equivalent confidentiality obligations. Upon termination of these Terms or upon request, you shall promptly return or destroy all Confidential Information and any copies thereof. Disclosure of Confidential Information may be made only to the extent required by law, subject to prior notice to the Company/MPL (where legally permitted) and cooperation in seeking protective relief. You acknowledge that any breach may cause irreparable harm to the Company/MPL, entitling it to injunctive or equitable relief in addition to other remedies available under law. For avoidance of doubt, you shall not disclose the contents of these Terms without the prior written consent of the Company/MPL.

“Any dispute, controversy, difference or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to Sole Arbitrator which shall be appointed by the MAITECX PRIVATE LIMITED/MPL in accordance with The Arbitration And Conciliation Act, 1996 relevant rules thereof. The Jurisdiction of the dispute shall be Pune, Maharashtra. All the Arbitration proceedings shall be conducted in English. The award of the Arbitrator shall be final and binding on all parties.

You consent to receive any agreements, notices, disclosures and other communications (collectively, “Notices”) to which these Terms and Conditions refer from us electronically, including without limitation by e-mail or by posting notices on this Platform. You agree that all Notices that we provide to you electronically satisfy any legal requirement that such communications be in writing. Unfortunately, we cannot provide the benefits of this Platform to any user that cannot consent to receipt of Notices electronically. Please note that this consent to receive Notices is entirely separate from any selection you may make with respect to receipt of marketing communications. Your options with respect to receipt of marketing communications are set forth in our Privacy Policy.

The terms in this agreement may be changed at any time. The Company/brand is free to offer its products/services to any client/prospective client without restriction. Any new features are added to the current store/products shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our Platform. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.

Users may post ratings, reviews, or feedback only if based on genuine and actual experiences. Users shall not post any content that is defamatory, abusive, misleading, false, harassing, hateful, obscene, unlawful, or otherwise inappropriate. By submitting any rating, review, or feedback, users grant the Platform a non-exclusive, royalty-free, worldwide license to use, reproduce, publish, display, and distribute such content within the Platform for operational and promotional purposes. The Platform reserves the absolute right, at its sole discretion, to monitor, moderate, remove, edit, or restrict any content without prior notice. If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation; (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. You agree that your comments will not violate any rights of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary rights. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related Platform. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third party.

“Agrolinc” shall not be held liable for any failure or delay in the performance of its obligations under these Terms, including but not limited to the provision of access to Your Account, use of “Agrolinc” or any associated products and services, if such failure or delay is due to causes beyond its reasonable control. These causes include, but are not limited to, acts of God, natural disasters (such as fires, floods, earthquakes), war, terrorism, civil unrest, insurrection, strikes, labour disputes, pandemics, epidemics, regulatory or quarantine restrictions, governmental actions, or failures by third-party service providers (including hosting providers and internet service providers). The Company shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including cyberattacks, data breaches, or any form of unauthorized access to systems, networks, or data. The Company shall not be responsible for any damages, losses, or costs incurred because of such force majeure events. “Agrolinc” will make reasonable efforts to mitigate the impact of such events and resume performance as soon as reasonably possible.

The list of service providers displayed on the Platform are provided for informational purposes only. While “Agrolinc” strives to ensure accuracy, there may be instances where the ingredient information contains errors or discrepancies. “Agrolinc” shall not be held liable for any inaccuracies or omissions in the list of service providers details provided on the Platform.

• ⦁ You acknowledge and agree that these Terms and Conditions constitute the complete and exclusive agreement between us concerning your use of the Platform, and supersede and govern all prior proposals, agreements, or other communications.
• ⦁ We reserve the right, in our sole discretion, to change these Terms and Conditions at any time by posting the changes on the Platform and providing notice of such change. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Platform.

• ⦁ In the event that any provision of these Terms and Conditions shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole but these Terms and Conditions shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision.
